The short version. We call the factories we work with our factory partners. Your company pays a monthly fee, GST included, for the right to use its own Stitchfloor workspace; the software stays ours, and the records in it are yours. Every plan includes up to 10 users. If Stitchfloor is not right for you, cancel within 30 days of your first payment and we refund that first month. You stay responsible for your GST returns, filings and books. You can cancel at any time.
This box helps you read the terms. The numbered sections below are the terms.
1. Who we are, and who you are
In these terms, “Stitchfloor”, “we” and “us” mean the business that runs stitchfloor.com. “You” and “factory partner” mean the company that subscribes to Stitchfloor. The person who accepts these terms for that company confirms that they are allowed to.
You can reach us at hello@stitchfloor.com. Notices to us go to that address. Notices to you go to the email addresses of your workspace's administrators.
2. What Stitchfloor is
Stitchfloor is production, accounting and business-records software
for garment factories. Your company gets its own workspace, at an
address like yourcompany.stitchfloor.com. It works in a
web browser on a computer or phone, and there is an Android app. On
an iPhone, use the web app in the browser.
Your plan includes what our pricing page lists for it on the date of your order, as each feature is made available to your workspace.
3. You subscribe to use Stitchfloor. You do not buy it.
We do not sell software to our factory partners. While your subscription runs and is paid for, we give your company a limited, non-exclusive and non-transferable right to use Stitchfloor for its own business, for the number of users your plan allows. That right ends when the subscription ends.
Stitchfloor's software, screens, recorded instructions, documents, name and logo, and every copy, update and improvement of them, belong to us. Nothing in these terms or in any payment transfers any of it to you. You may not copy, sell, rent out, sublicense or modify Stitchfloor, let another business use your workspace, or try to get at its source code, except where the law allows. If you send us suggestions, we may use them freely and owe nothing for them.
4. Users and desks
- Ten users are included in every plan. A user is a person your administrators give access to the workspace. Each user above ten is charged, for each billing month in which they have access, at one tenth of your plan's monthly price: ₹699 on Essentials, ₹1,199 on Factory and ₹1,449 on Intelligence, GST included.
- Your administrators decide who joins the workspace. They invite each person with a link that works once, and choose that person's desk: Admin, Production Supervisor, Operations Supervisor, Sales and Receivables, Purchase and Payables, or Inventory Manager.
- Each person signs in with their own mobile number, email address or Google account. On a live workspace, administrators also use a second step from an authenticator app (the public demo has one shared password; see section 10).
- One sign-in is for one person. Do not share a sign-in, a one-time code or an invite link with anyone other than the person it is meant for.
- You are responsible for the people you admit, for what is done under their accounts, and for withdrawing access when someone leaves. An administrator can withdraw a person's access at any time. Tell us straight away if you think an account is being misused.
- Do not create an account for anyone under 18.
5. Plans, fees and taxes
- Prices include GST. Our published prices are ₹6,999 a month for Essentials, ₹11,999 a month for Factory and ₹14,499 a month for Intelligence, for one company, with up to 10 users. The price that applies to you is the one on your order.
- Plans are billed monthly, and each month's fee is paid at the start of that billing month. There is no yearly commitment.
- There is no charge beyond your plan fee and any users above ten unless it is stated on your order.
- To change plan, write to us. We will confirm the new fee and the date it starts before it applies.
- If we change the price of your plan, we will tell your administrators by email at least 30 days before. The new price applies from the first billing month that starts after that notice.
- If a fee is not paid when it is due, we will remind you before we do anything else. If it stays unpaid, we may suspend the workspace as section 15 describes.
6. The 30-day money-back guarantee
If Stitchfloor is not right for your factory, cancel within 30 days of your company's first payment and we refund that first payment in full, GST included. The guarantee applies once per company, to its first subscription. After the first 30 days, a month that has started is not refunded. Cancellation and refunds sets out how it works.
7. Your records
They are yours
The records you and your staff enter (lots, assignments, wages, stock movements, invoices, payments, ledgers and so on) belong to your company. We hold them on your behalf and use them only to provide Stitchfloor to you: to store them, show them, check them, back them up and fix problems you report. There is no advertising in Stitchfloor, and nothing in your workspace is sold, rented or shared for marketing.
Taking them out
An administrator can download the whole workspace at any time from Settings, using Download records, which produces one file. The books can also be downloaded as a file for Tally to import, and registers and reports download as CSV files.
Deleting them
An administrator can ask us to delete the whole workspace by writing from an administrator's own email address. We action deletion requests within 30 days, and we cannot restore a workspace once it has gone. Our page on deleting your account and your data sets out what is removed and what is kept.
People named in your records
Your records will hold personal details of other people, such as your workers' names and wages and your buyers' contact details. You are responsible for being allowed to keep those details and for telling those people how you use them. We handle them on your behalf, as our privacy policy describes.
8. Figures and drafts the app prepares for you
The books, the GST return figures, the input tax credit register, the profit figures, the cash forecast, customer tiers, ageing and the messages Stitchfloor drafts are worked out by fixed rules from your own records. They are aids for running the business, not accounting, tax, legal or financial advice. Where a figure is missing an input (for example, stock with no rate or costing sheet, which the balance sheet leaves out and marks incomplete), the screen says so.
On a live workspace you can speak a record in Hindi or Hinglish and the form fills itself in. Nothing is saved until you read the form and press Confirm. Check every figure before you confirm.
Messages to your buyers, suppliers and leads go out on WhatsApp from your own phone, or from your own WhatsApp Business account where you have connected one. You are responsible for being allowed to message the people you write to. Stitchfloor does not make payments.
9. Your statutory responsibilities
You remain responsible for your GST returns and all other statutory filings, your books of account, your payroll and your obligations under labour law. Check every invoice, e-invoice, e-way bill, return figure, statement and wage figure before you rely on it.
Stitchfloor prepares the GSTR-1 file for you to upload, works out the GSTR-3B figures, and compares your purchase bills with your GSTR-2B. It does not file a return on your behalf: you or your accountant file on the GST portal and answer for the return.
Tax invoices are made from the details you enter, such as GSTINs, states, HSN codes and rates. Those details are yours to get right.
On a live workspace you can report invoices for an IRN and file and cancel e-way bills, after a one-time registration on the government portals in which you choose our GST Suvidha Provider. Those e-invoices and e-way bills are filed on your own portal credentials, in your company's name, and are your legal documents. Check each one before you confirm it, and cancel or correct it within the time the portal allows. We do not file on your behalf in our own name.
10. The public demo
demo.stitchfloor.com and
the company code demo in the Android app are a public
sample, not a workspace. The sign-in details are printed on the
demo's own front page and anyone may use them. The demo holds
fictional records, keeps what you enter in your own browser (or on
your own phone), and has no account behind it. Do not put real
business information into it.
The demo is free and provided as it is. We may change or reset it at any time. Voice entry and filing with the government portals are not in the demo. Sections 4 to 7 and 11 of these terms do not apply to it; our acceptable use rules do.
11. Availability and support
We aim to keep Stitchfloor available and working correctly, and to fix faults quickly when they are reported. We do not promise that it will always be available or free of errors, and we do not offer an uptime figure or a service level agreement.
We aim to do planned work outside factory working hours, and to tell your administrators beforehand when we expect it to interrupt use.
Some things are outside our control: the internet and power at your factory, the services we rely on (section 12), and government systems such as the GST, e-invoice and e-way bill portals.
For help, write to hello@stitchfloor.com.
12. Services we rely on
Stitchfloor uses other companies to do its work, such as for hosting, sign-in, the database, speech-to-text and the government portals. Each acts under its own terms and is given your records only to do that work. The privacy policy keeps the current list and says what each one sees.
13. Acceptable use
Use Stitchfloor only as our acceptable use rules allow. Breaking them can lead to suspension under section 15.
14. Confidentiality and liability
Each of us will keep the other's non-public business information confidential, and use it only for the purpose of these terms. This does not cover information that is already public, or that the law requires either of us to disclose.
- Nothing in these terms limits liability that the law does not allow to be limited.
- Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, business or goodwill.
- Our total liability for all claims connected with Stitchfloor is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
- The demo is free, and we accept no liability for it to the extent the law allows.
15. Ending the subscription
If you end it
You can cancel at any time by writing to us from an administrator's email address. Within the first 30 days, the money-back guarantee in section 6 applies. Otherwise the cancellation takes effect at the end of the billing month in which you cancel, and until then the workspace works as normal.
If we suspend or end it
We may suspend or end a workspace if fees stay unpaid after we have reminded you, if these terms or the acceptable use rules are broken seriously or repeatedly, or where we must to protect other factory partners' security or to obey the law. Where it is reasonable to, we will warn your administrators first and give you time to put things right.
If we ever decide to stop offering Stitchfloor altogether, we will tell your administrators at least 90 days before, so you can download your records.
Afterwards
When the subscription ends, your right to use Stitchfloor ends and access to the workspace stops. Download your records before then. An administrator can ask us to delete the workspace, as section 7 describes.
16. Changes to these terms
If we change these terms in a way that affects you, we will email your administrators at least 30 days before the change takes effect, and the date at the top of this page will change. If you do not accept the change, you can cancel before it takes effect.
17. Law and disputes
These terms are governed by the laws of India. If something goes wrong, write to us first and we will try to settle it with you within 30 days. If we cannot, the dispute goes to the courts in India that have jurisdiction over it.
18. General
- These terms and your order are the whole agreement between us about Stitchfloor. If your order says something different, the order applies.
- If a court finds part of these terms invalid, the rest still applies.
- Neither of us is responsible for a delay or failure caused by events outside our reasonable control.
- You may not transfer these terms, or your right to use Stitchfloor, to another business without our written agreement.
